Credulio, LLC Terms of Service

 

Credulio, LLC (QRedentials.com, QRedify.com, wikiwig.com, credulio.com, etc.; hereinafter “Credulio, LLC”) may amend these terms at any time by posting a revised version on our website. The revised version will be effective at the time we post it. In addition, if the revised version includes a Substantial Change, we will provide you with 30 Days' prior notice of any Substantial Change by posting notice of “SUBSTANTIAL CHANGE IN TERMS OF SERVICE” on the Homepage of our website(s), linking to the revised Terms of Service.

This is an important document which you must consider carefully when choosing whether to use any of the wonderful, Credulio, LLC application. Please be advised: This Agreement contains definitions, agreement conditions, and provisions that govern how legal claims may be resolved. Dispute-resolution provisions contain an Agreement to Arbitrate, which will, with limited exception, require you to submit claims you have against Credulio, LLC to binding and final arbitration, unless you opt out of the Agreement to Arbitrate, in writing, within 30 Days after the date you accept these terms for the first time. Unless you opt out: (1) you will only be permitted to pursue claims against Credulio, LLC on an individual-Organization basis, not as a plaintiff or class member in any class or representative action or proceeding, and (2) you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis for a single Organization.

Please note the following risks of using Credulio, LLC, which are set forth in more detail in the relevant sections of this Agreement:

We may close, suspend, or limit your access to your Credulio, LLC Account, and/or limit access to the Accounts of any Member User entered into your selected account size/type which is found to be in violation of any part of this Agreement. We may also use proprietary fraud and risk modeling when assessing the risk associated with your Account. If you wish to open a dispute, you must do so within 30 days of initiating your transaction. 

CONSUMER FRAUD WARNING: There will be NO REFUNDS for any service closed, suspended, or limited due to any actions contrary to the terms of this Agreement. Credulio, LLC is always looking for ways to help keep your data even more secure. So stay on the lookout for some of these common scams:

·        Spoofing – a scammer sends forged or faked electronic documents or emails falsely claiming to be Credulio, LLC or coming from Credulio, LLC but asks you to send money (or divulge proprietary information) outside your Credulio, LLC account, secured by our partnership with Stripe, PayPal or other secured payment processors. 

·        Relative in Need – a scammer impersonates a family member (commonly grandchildren) and claims they need you to upload important identification documents to your Credulio, LLC Account.

·        Lottery or Prize – a scammer informs you that you’ve won a lottery or prize and must upload credentials/identification to your Account that would allow them to “Verify” your winnings.

·        Debt Collection – a scammer impersonates a debt collector and induces you to purchase additional Credulio, LLC Accounts and/or upload additional services or products using threats or intimidation.

Always use common sense when uploading any documentation. If something sounds too good to be true, it probably is. NEVER upload any discriminating, legally binding, or legally identifying files that may be used to steal your identity or other form of personal injury.  

 
Definition of Terms

“Backup Data” includes any data you back up through your use of Credulio, LLC and any related data that are in the possession of Credulio, LLC or affiliates stemming from your use of Credulio, LLC.

 “CREDENTIAL TYPES”:  (When uploading your credentials into any Credulio, LLC Account you will indicate the "Type" for each credential.  Do your best to fit each credential into one of these categories (don't worry about getting it wrong; you can change and modify at any time!  

 “EH&S Credentials” (Environmental, Health, & Safety) indicates credentials of any type that are directly related to environmental, health or safety issues.  These are commonly a certificate, card or other documentation, indicating completion of safety training, OSHA compliance study, environmental impact knowledge, industry/union/contractor demands, and the like.

“Trade Credentials” are often confused as EH&S, but are more specifically, the credentials that are demanded or required to satisfy someone of your achievements within a given industry or trade.  (ie. Skill-training, union cards, contractor licenses, trade school training or study,...)  

 “Merit Credentials” this category is not verified, certified, plagiarized, or scrutinized!  Merit credentials are those meritorious service awards, certificates of completion, degrees, or other accomplishments worthy of being displayed, but probably not necessarily required to be easily available.  

“Membership Credentials” brag-sheets, letters of recognition, newspaper clippings, Yearbook postings, membership cards (NO CREDIT CARDS!), Airline Rewards, travel points, club memberships, any other points/tracking system cards...  These are listed at the very end of the list of your Credulio, LLC when accessed.  

 “You,” “yourself”, “user,” “subscriber,” “client,” and “you” refer to the individual or legal entity registering for or using Credulio, LLC web-apps and services.

 “Credulio, LLC” This business-credentials data analysis service facilitates just such data extraction, vetting, analysis, recording, reporting and expiration-status of Customer credentials (licenses, safety training, certifications, diplomas, memberships...) stored/uploaded and provides quick retrieval and presentation in a unique format.

“Credulio, LLC Software, downloads, or product” means software, downloads, or product provided or sold to you or for your use by Credulio, LLC. Software or downloads indicates any software or file licensed for your use located on Credulio, LLC website or for installation on your network, computers, or mobile devices. Product refers to hardware, promotional items, printed materials, reports, etc. purchased from or provided for your use by Credulio, LLC.

“Computer” means a desktop computer, laptop computer, network device, mobile device, and any storage device attached to these by any means.

“Personal Information” means information that you may provide at the time of registration, profile management, or file uploads or otherwise during the course of working with Credulio, LLC; such as, but not limited to, name, physical location or address, IP address, e-mail address, gender, year of birth, billing information, payment information, and postal code.
 
To “Publish” documents or information means to provide to or make them accessible to you by mailing, emailing, desktop messaging, faxing, or delivering them to you by use of a cloud sharing process.

To “Use” Credulio, LLC means each time you visit a Credulio, LLC website, register with Credulio, LLC, download Credulio, LLC Software or receive Credulio, LLC Hardware, use Credulio, LLC Software, downloads, or product, view the status of a Credulio, LLC product, control a Credulio, LLC Product or Service, view the status of your stored data, store or restore data, use any Credulio, LLC archive services, or request support.

“Activation Date” means the earlier of: (i) the date Credulio, LLC grants you access to the services and (ii) the date on which you complete the online activation process.

“Authorized User” means an employee or a contractor of Customer who is authorized to use the Credulio, LLC services provided hereunder.

 
Electronic Communications Delivery Policy

This policy describes how Credulio, LLC communicates with you electronically, provides additional details about the communications we provide, and sets out the processes and software you need to receive these communications.

Electronic delivery of communications - You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, "Communications") that we provide in connection with your Credulio, LLC account ("Account") and your use of any/all Credulio, LLC services. Communications (most commonly email) include, but are not limited to:

agreements and policies you agree to (e.g., this Credulio, LLC End User Agreement and the Credulio, LLC Privacy Policy), including all updates to these agreements and/or policies;
transaction receipts or confirmations;
Account statements and history, including any/all promotional updates;
information related to any other Account found to be related to this one;
Files submitted which your Credulio, LLC Customer Service Representative deems necessary to return or communicate electronically.
Text messaging as agreed.
Promotional offers ONLY from Credulio, LLC or products and services related to the credentials uploaded into any Credulio, LLC account.

We will provide these communications to you by posting them on the Credulio, LLC websites) and/or by emailing them to you at the primary email address listed in any of your Credulio, LLC Profile(s).

Hardware and software requirements

In order to access and retain electronic communications, you will need the following computer hardware and software:

·        a computer with Internet connectivity;

·        a current web browser that includes 128-bit encryption (e.g. Internet Explorer version 7.0 and above, Chrome version 3.0 and above, or Safari 3.0 and above) with cookies enabled;

·        Adobe Acrobat Reader version 8.0 and above to open documents in .pdf format;

·        a valid email address (your primary email address on file with Credulio, LLC); and

·        sufficient storage space to save past communications, access to credentials uploaded, and/or an installed printer to print them for storage.

·        A suitable method for transferring paper documentation into uploadable electronic files (.pdf, .jpg, .bmp…)

·        In certain cases you may need to install a QR scanner App for scanning QR codes.

We will notify you if there are any material changes to the hardware or software needed to receive electronic communications from Credulio, LLC. By giving your consent you are confirming that you have access to the necessary equipment and are able to receive, open, and print or download a copy of any communications for your records. You may print or save a copy of these communications for your records as they may not be accessible online at a later date.

 How to withdraw your consent

You may withdraw your consent to receive communications electronically by writing to us at  Credulio, LLC, 1135 Terminal Way  Suite 209, Reno, NV 89502, or by contacting us via the “Contact” or "Contact Us" links found within the Credulio, LLC websites as indicated above.  If you fail to provide or if you withdraw your consent to receive communications electronically, Credulio, LLC reserves the right to either deny your application for an Account, restrict or deactivate your Account, close your Account and any sub-account, or charge you additional fees for other forms of required communications.

Requesting paper copies of electronic communications

If, after you consent to receive communications electronically, you would like a paper copy of a communication we previously sent you, you may request a copy within 30 Days after the date Credulio, LLC provided such communication by contacting us as described above. We will send your paper copy to you by U.S. mail (charges for shipping, handling and any or processing fees will be charged to your Credulio, LLC Account).  In order for us to send you paper copies, you must have a current street address on file in your Credulio, LLC Account Profile. If you request paper copies, you understand and agree that Credulio, LLC may charge you a processing fee for each communication. The processing fee will not be charged if your request is only asking for a mailed copy of previous electronic communications.

Updating your contact information

It is your responsibility to keep your primary email address up to date so that Credulio, LLC can communicate with you electronically. You understand and agree that if Credulio, LLC sends you an electronic communication but you do not receive it because your primary email address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic communications, Credulio, LLC will be deemed to have provided the communication to you.

Please note that if you use a spam filter that blocks or re-routes emails from senders not listed in your email address book, you must add Credulio, LLC to your email address book so that you will be able to receive the communications we send to you.

You can update your primary email address or street address at any time by logging into any Credulio, LLC SaaS website and accessing your Profile/Control Panel. If your email address becomes invalid such that electronic communications sent to you by Credulio, LLC are returned, Credulio, LLC may deem your Account to be inactive, and you may not be able to transact any activity using your Credulio, LLC Account until we receive a valid, working primary email address from you.  Any costs or inconvenience of such delays, holds, temporary disengagement of your Account will be your sole responsibility.

Credulio, LLC and You.

Credulio, LLC is only a service of storing and displaying the files that you load into your Membership Accounts.  Credulio, LLC is an independent contractor for all purposes, and is not your agent or trustee. Credulio, LLC does not have control of, or liability for, the documents, files, pictures and writings that you upload and store in your account and cause to become viewable using your QR-Code as provided. While our Customer Service Agents will analyze the data uploaded and stored in your account, we do not guarantee or protect the identity of any User or Scanner or assure that unacceptable files will be properly expelled from posting. Protecting your privacy is very important to Credulio, LLC. Understand our commitment to maintaining your privacy, as well as our use and disclosure of your Information.

Privacy of Others; Marketing. If you receive Information about another User through the Credulio, LLC, you must keep the Information confidential and only use it in connection with the Credulio, LLC. You may not disclose or distribute a User's Information to a third party or use the Information for marketing purposes unless you receive the User's express consent to do so.

You may not send unsolicited email to a User or use Credulio, LLC data for sending, or assisting in sending, unsolicited email or SPAM to third parties.

"Credulio, LLC.com", "Credulio, LLC", “Credulio, LLC, Inc.”, “QRedentials.com”, “QRedify.com”, “WikiWig.com”, and all logos related any Credulio, LLC company, website or application are either copyrights, trademarks or registered trademarks of Credulio, LLC or Credulio, LLC's licensors or Affiliates. You may not copy, imitate or use them without Credulio, LLC's prior written consent. In addition, the QR Dictionary, page content, WikiWig content, page headers, custom graphics, button icons, and scripts are copyrights, service marks, trademarks, and/or patent protected assets of Credulio, LLC. You may not copy, imitate, or use them without our prior written consent. You may use HTML and graphic-file representations of the Unique, QR-Code specifically and ONLY prepared for the display of your credentials as provided by Credulio, LLC through your QRL, Profile(s) Control Panel(s), or Affiliate programs without prior written consent from Credulio, LLC or such Affiliate. You may not alter, modify or change these HTML logos in any way, use them in a manner that is disparaging to Credulio, LLC or display them in any manner that implies Credulio, LLC's sponsorship or endorsement. All right, title and interest in and to the Credulio, LLC website, any content thereon, your QR-Code, the technology related to Credulio, LLC, and any and all technology and any content created or derived from any of the foregoing is the exclusive property of Credulio, LLC and its licensors.

You may not transfer or assign any rights or obligations you have under this Agreement without Credulio, LLC's prior written consent. Credulio, LLC reserves the right to transfer or assign this Agreement or any right or obligation under this Agreement at any time.

Password Security and Keeping Your Email and Address Current. You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers (PINs), or any other codes that you use to access any Credulio, LLC. You should safeguard the security of the card or PayPal account used for this membership purchase. You are responsible for keeping your mailing address and email address up to date in your Account Profile.

Notices to You

You agree that Credulio, LLC may provide you communications about your Account, your QR-Code, related opportunities, and changes to this Agreement electronically as described above. Any electronic communications will be considered to be received by you within 24 hours after the time we post it to our website or email it to you, regardless of the status of your email address in your profile. Any Communications sent to you by postal mail will be considered to be received by you 3 Business Days after we send it.

Contacting You. In order to contact you more efficiently, we may at times contact you using autodialed or prerecorded message calls or text messages at the telephone number(s) you have provided us. We may place such calls or texts to (i) provide notices regarding your Account or Account activity, (ii) investigate or prevent fraud, or (iii) collect a debt owed to us. You agree that we and our service providers may contact you using autodialed or prerecorded message calls and text messages to carry out the purposes we have identified above. We may share your phone number(s) with service providers with whom we contract to assist us in pursuing these interests, but will not share your phone number(s) with third parties for their own purposes without your consent. Standard telephone minute and text charges may apply. We and our service providers will not use autodialed or prerecorded message calls or texts to contact you for marketing purposes at the telephone number(s) you designate unless we receive your prior express written consent. 

Your Choices. You do not have to consent to receive autodialed or prerecorded message calls or texts in order to use and enjoy Credulio, LLC’s products and services. Where Credulio, LLC is required to obtain your consent for such communications, you may choose to revoke your consent by contacting customer support at 1-775-525-0277 and informing us of your preferences.

Recording Calls. You understand and agree that Credulio, LLC may, without further notice or warning and in our discretion, monitor or record telephone conversations you or anyone acting on your behalf has with Credulio, LLC or its agents for quality control and training purposes or for its own protection. You acknowledge and understand that, while your communications with Credulio, LLC may be overheard, monitored, or recorded without further notice or warning, not all telephone lines or calls may be recorded by Credulio, LLC, and Credulio, LLC does not guarantee that recordings of any particular telephone calls will be retained or retrievable. 

Notices to Credulio, LLC

Except as otherwise stated above in the Electronic Communications Delivery Policy, notice to Credulio, LLC must be sent by postal mail to: Credulio, LLC, Inc., 1135 Terminal Street Suite 209, Reno, Nevada  89502.

You may view your Account Status by logging into your Account and viewing your Profile(s) and/or Control Panel(s).

Accounts.

Identity Authentication. You authorize Credulio, LLC, directly or through third parties, to make any inquiries we consider necessary to validate your identity and the validity of each file that you upload. This may include asking you for further information, requiring you to provide your date of birth, a taxpayer identification number and other information that will allow us to reasonably identify you, requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report, or verifying your Information against third party databases or through other sources. We may also ask to see your driver’s license or other identifying documents at any time. Certain credentials may require that Credulio, LLC verify some of your personal Information and maybe even that of the Company. Credulio, LLC reserves the right to close, suspend, or limit access to your Account and/or the credentials in your account in the event we are unable to obtain or verify this Information.

Third Party Permissions. If at any time you grant permission to a third party to take specific access on your behalf, or upload to your account, either through your use of the third party's product or service or through providing access to your Profile(s) and Control Panel, you acknowledge that Credulio, LLC may disclose the information about your Account that is specifically authorized by you to this third party. You also acknowledge that granting permission to a third party to take specific actions on your behalf does not relieve you of any of your responsibilities under this Agreement. Further, you acknowledge and agree that you will not hold Credulio, LLC responsible for, and will indemnify Credulio, LLC from, any liability arising from the actions or inactions of this third party in connection with the permissions you grant. You may change or remove these permissions at any time by changing your settings in your Account Profile.


Accuracy-Honesty-Credibility of Information.

You are responsible for confirming the accuracy of the information you provide about each document/file that you upload and information that you provide, including, but not limited to, all email addresses, telephone numbers, credentials, photos, membership cards of the recipient and the amount of the transaction.

Credulio, LLC Mobile. Credulio, LLC Mobile applications are under development.  Upon release of this free, mobile technology, Credulio, LLC will add to this EUA as indicated above.  Your acceptance of this Agreement includes your agreement to all conditions of the EUA for the mobile apps upon your use of that Application.

Credit Card Information. If your credit card account number changes or your credit card expiration date changes, we may acquire that information from our financial services partner and update your Account.  Herein you agree that when this is brought to your attention, you will update any information immediately.

Special Offers. You may receive promotional offers from Credulio, LLC, such as coupons, promotional-merchandise, and/or other options, digital-deals or products (together, "Offers") that can be paid for using your stored payment information.

a.     Offer Redemption. It is your responsibility to assure that any offers are redeemed prior to any expiration date set. 

b.     Terms. Offers may be subject to additional terms provided with the Offer.

c.      Refunds. All Sales are Final.  All Products and Services are paid for in advance.

d.     Limits of Liability and Exclusions. Credulio, LLC has no liability if you fail to use any Offers prior to expiration or if Credulio, LLC does not remind you of pending Offers or their expiration dates. Credulio, LLC is not responsible for Offer terms set by a Merchant or for the compliance of those terms with any applicable laws.

If the first Payment Method that you add to your Credulio, LLC Account is not available or is rejected, you authorize us to use any of the eligible Payment Methods linked to your Credulio, LLC Account to recover this amount.

Closing Your Account.

How to Close Your Account. You may close your Account at any time by following the instructions in your Control Panel(s). Upon Account closure, we will cancel functionality and access to all QR-Codes associated with your account and terminate access to your QRL Control Panel.

Unlawful Internet Gambling Notice. Restricted transactions as defined in Federal Reserve Regulation GG are prohibited from being processed through your Account, posting of any unlawful documentation or files, or your relationship with Credulio, LLC. Restricted transactions generally include, but are not limited to, transactions in which credit, electronic fund transfers, checks, or drafts are knowingly accepted by gambling businesses in connection with unlawful Internet gambling.

 
Your Liability - Actions We May Take.

You are responsible for all unsubstantiated claims, forged documentation, claims, fees, fines, penalties and other liability incurred by Credulio, LLC, a User, or a third party caused by or arising out of your breach of this Agreement, and/or your use of the Credulio, LLC. You agree to reimburse Credulio, LLC, a User, or a third party for any and all such liability.

Reimbursement for Your Liability. In the event that you are liable for any amounts owed to Credulio, LLC, Credulio, LLC may immediately remove such amounts from your Balance. If you do not have a Balance that is sufficient to cover your liability, your remaining Balance (if any) will be removed, your Account will have negative Balance up to the amount of your liability, and you will be required to immediately add funds to your Balance to eliminate the negative Balance. If you do not do so, Credulio, LLC may engage in collection efforts to recover such amounts from you.

Actions by Credulio, LLC - Restricted Activities. If Credulio, LLC, in its sole discretion, believes that you may have engaged in any Restricted Activities, we may take various actions to protect Credulio, LLC, other Users, other third parties, or you from Reversals, Chargebacks, Claims, fees, fines, penalties and any other liability. The actions we may take include but are not limited to the following:

a.     We may close, suspend, or limit your access to your Account(s), Profiles(s), or QR-Code(s) functionality;

b.     We may contact Users who have scanned any QR-Code generated by your Membership use;

c.      We may update inaccurate Information you provided us;

d.     We may refuse to provide any Credulio, LLC services or access to you in the future;

e.     We may place a hold on the Credit Card on File for up to 180 Days if reasonably needed to protect against the risk of liability or if you have violated our Acceptable Use Policy;

f.       We may take legal action against you; and

g.     If you violate any of this Agreement, or other Credulio, LLC Acceptable Use Policies or postings, then in addition to the above actions you will be liable to Credulio, LLC for the amount of Credulio, LLC's damages caused by your violation of the Acceptable Use Policy. You acknowledge and agree that $2,500.00 USD per violation of the Acceptable Use Policy is presently a reasonable minimum estimate of Credulio, LLC's actual damages considering all currently existing circumstances, including the relationship of the sum to the range of harm to Credulio, LLC that reasonably could be anticipated because, due to the nature of the violations of the Acceptable Use Policy, actual damages would be impractical or extremely difficult to calculate. Credulio, LLC may deduct such damages directly from any existing Balance in the offending Account or any other Account you control.

h.     Credulio, LLC, in its sole discretion, reserves the right to terminate this Agreement, access to its website, or access to your QRL for any reason and at any time upon notice to you and payment to you of any unrestricted funds held in your Balance.

Actions by Credulio, LLC – Include, but not limited to, account deactivation, termination of service, limited account access. If we close your Account or terminate the use of your Profile(s), Control Panel(s), QR-Codes, for any reason, we will provide you with notice of our actions. Except as expressly provided otherwise herein, if we limit access to your Membership, in any way, we will provide you with notice of our actions; we will also provide you with an opportunity to request restoration of access if, in our sole discretion, as we deem it appropriate. Further, you acknowledge that Credulio, LLC’s decision to take certain actions, including limiting access to your Membership may be based on confidential criteria that are essential to our management of risk and the security of Users’ Identity.  You agree that Credulio, LLC is under no obligation to disclose the details of its risk management or security procedures to you.
